Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Warcotech LLC, a Michigan limited liability company ("FlipPilot", "we", "us", or "our"), governing your use of getflippilot.com, the FlipPilot Telegram bot, and any related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

FlipPilot helps resellers identify items from photos, generate price recommendations from recent eBay sold listings, and create listings on eBay (and, for Pro subscribers, coordinate cross-listing on supported third-party marketplaces). The Service uses third-party tools including Google's Gemini AI models, eBay's Sell API, Stripe for billing, and Telegram for messaging.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Service. You must use a real email address and provide accurate account information.

3. Your account

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us at hello@getflippilot.com if you believe your account has been compromised.

4. Subscriptions, billing, and refunds

• Plans. FlipPilot is offered on the plans listed at getflippilot.com/#pricing — currently Basic at $27/month and Pro at $47/month, with annual options at a discount. Prices are in U.S. dollars and exclusive of any applicable taxes.
• Billing. Subscriptions are billed in advance on a recurring monthly basis through Stripe. By subscribing, you authorize us, through Stripe, to charge the payment method you provide.
• Cancellation. You can cancel anytime from your billing dashboard. Cancellation takes effect at the end of the current billing period; you keep access until then.
• Refunds. Because the Service is delivered immediately and consumption-based, fees are generally non-refundable. We may issue refunds at our discretion — for example, if the Service is materially unavailable.
• Price changes. We may change plan pricing on at least 30 days' notice. Changes do not apply retroactively to your current billing period.
• Failed payment. If a payment fails, we may suspend or cancel your subscription until it is resolved.

5. Acceptable use

You agree not to use the Service to:

• List items you do not own or do not have the right to sell.
• List items prohibited by eBay's policies, by applicable law, or by any marketplace you cross-list to (including but not limited to counterfeit goods, hazardous materials, weapons restricted in your jurisdiction, stolen property, or items that infringe intellectual property).
• Misrepresent items, prices, or your identity.
• Attempt to reverse-engineer, scrape, or interfere with the Service or any third-party platform we integrate with.
• Send the bot photos containing illegal content, sexual content, content depicting minors in any sexualized context, or content that violates the rights of others.
• Use the Service for any unlawful purpose or in violation of these Terms or the terms of any integrated third-party service (including eBay's User Agreement and API License Agreement, Telegram's Terms of Service, Stripe's Services Agreement, and Google's Generative AI Prohibited Use Policy).

We may suspend or terminate accounts that violate these rules.

6. Your eBay account

When you connect eBay, you authorize FlipPilot to create, modify, and end listings on your behalf using the access tokens eBay issues to us. You remain solely responsible for your eBay account, your listings, your communications with buyers, fulfilment, returns, refunds, fees, taxes, and compliance with eBay's policies and applicable law. We are not a party to any sale between you and a buyer.

7. Pricing recommendations are guidance, not guarantees

Price recommendations are based on recent eBay sold-listing data and AI analysis of your photos. They are estimates, not guarantees. Actual sale prices depend on many factors we do not control. You are responsible for the final listing price and listing content.

8. Intellectual property

• Your content. You retain all rights to the photos, descriptions, and other content you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Your Content solely to operate the Service for you and (if you choose) push your listings to third-party marketplaces on your behalf. This license ends when you delete Your Content, except where we must retain a copy for legal or security reasons.
• Our IP. The Service, including the website, bot, software, branding, and documentation, is owned by Warcotech LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service per these Terms.

9. Third-party services

The Service depends on third parties (eBay, Telegram, Stripe, Google, Vercel, PingCAP/TiDB Cloud, Hostinger, and others). We are not responsible for the availability, performance, or actions of those third parties. Your use of those services is governed by their own terms.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY OF AI-GENERATED IDENTIFICATIONS OR PRICE RECOMMENDATIONS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WARCOTECH LLC, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify and hold harmless Warcotech LLC and its officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, your violation of any law or third-party right, or any item you list using the Service.

13. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, if your account is inactive for an extended period, or if we discontinue the Service. On termination, sections that by their nature should survive (including IP, disclaimers, limitation of liability, indemnification, governing law) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, U.S.A., without regard to its conflict-of-laws rules. The exclusive venue for any dispute that cannot be resolved informally is the state or federal courts located in Michigan, and you consent to personal jurisdiction there. Before filing a claim, you agree to first contact us at hello@getflippilot.com and attempt to resolve the matter in good faith.

15. Non-affiliation

FlipPilot is an independent service and is not affiliated with, endorsed by, or sponsored by eBay Inc., Telegram FZ-LLC, Mercari Inc., Poshmark Inc., Depop Ltd., Google LLC, Stripe Inc., Vercel Inc., PingCAP Inc., or any other third party referenced in the Service. All trademarks are the property of their respective owners.

16. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be announced before they take effect; continued use of the Service after a change constitutes acceptance of the new Terms.

17. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the rest will remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
